What you should know
Is this a public securities offering?+
No. Each LLC offering is conducted as a private placement to accredited investors under Regulation D. Membership interests are subject to transfer restrictions and may not be sold or transferred without platform and LLC approval.
What do I actually own?+
You own membership interests (shares) in the LLC that holds legal title to the property. Rights, distributions, stay allowances, and governance votes are defined in each LLC's Operating Agreement.
What is Haven Registry?+
Haven Registry is the digital ownership record layer of Equity & Estate, powered by Haven Protocol. It may mirror LLC membership interests, certificates, distribution history, and transfer activity. Digital records are informational — legal rights are governed by the LLC Operating Agreement.
What is Estate Exchange?+
Estate Exchange is a permissioned transfer environment where eligible owners may request to transfer LLC membership interests to qualified buyers, subject to full compliance review, legal documentation, and LLC approval. It is not a public exchange or DEX.
How does the platform make money?+
Equity & Estate earns revenue from sourcing fees, property management fees, operating service fees, upside share on exit, Estate Exchange transfer fees, and Estate Circle premium membership fees. All fees are disclosed in the Offering Memorandum.
